These comprehensive Terms and Conditions govern the use of PE2P Marketplace (pe2p.com), a secure peer-to-peer digital marketplace platform designed for global commerce and digital transactions.

By accessing, registering on, or using the PE2P platform, you agree to be bound by these Terms and Conditions in full. If you do not agree to any part of these Terms, you must not use the platform. SOHAG ASHIK GROUP LIMITED reserves the right to change, suspend, or discontinue any part of the PE2P services at any time.

Acceptance of Terms

This Agreement — including all schedules, appendices, and referenced policies ("Agreement", "Terms") — is a legally binding contract between you and SOHAG ASHIK GROUP LIMITED (Company Registration No. 17062597), registered at Third Floor, Suite 8-247, 207 Regent Street, London W1B 3HH, United Kingdom ("PE2P", "Company", "we", "us", or "our").

This Agreement governs: (a) the provision of PE2P Services as defined herein; and (b) your use of the Platform.

The PE2P Services may only be used by individuals who:

  • Are 18 years of age or older and can form legally binding contracts under applicable law
  • Are not residents of sanctioned countries or territories subject to UN, OFAC, or HM Treasury sanctions
  • Are not designated as terrorists, terrorist associates, or persons subject to financial sanctions
  • Provide accurate, current, and complete registration information and maintain it accordingly

Definitions

The following definitions apply throughout these Terms:

  • Account — The account created by you to access or use the Platform.
  • Agreement — These Terms and Conditions together with all incorporated policies.
  • AML — Anti-Money Laundering.
  • Buyer — Any user who purchases Goods and/or Services on the Platform.
  • Business Day — Any day that is not a Saturday, Sunday, or public holiday in England and Wales.
  • CTF — Counter-Terrorist Financing.
  • EKYC — Electronic Know Your Customer — identity verification conducted directly or through authorised third-party providers.
  • Escrow Period — The period during which Buyer funds are held by the Payment Partner pending transaction confirmation.
  • Goods and/or Services — Digital items, goods, and/or services listed and offered by Sellers through the Platform.
  • KYC — Know Your Customer.
  • Omnibus Wallet — The regulated wallet established by a Payment Partner in the name of PE2P for facilitating platform transactions. PE2P does not have control over or access to the Omnibus Wallet or funds held therein.
  • Payment Partner — An FCA-authorised or competent regulator-authorised payment services provider partnered with PE2P to provide all payment services for Platform transactions.
  • Personal Data — Has the meaning given under the UK GDPR and Data Protection Act 2018, as described in our Privacy Policy.
  • Platform — The online marketplace operated by SOHAG ASHIK GROUP LIMITED at pe2p.com.
  • Privacy Policy — PE2P's data protection and processing policy, available at pe2p.com/privacy-policy.
  • Sale Contract — The agreement formed directly between a Seller and a Buyer through the Platform for the sale of Goods and/or Services.
  • Seller — A registered user who lists or offers Goods and/or Services for sale through the Platform.
  • Seller Wallet — The account opened by a Payment Partner for a Seller to receive transaction payments.
  • PE2P Services — Services provided through the Platform including marketplace facilitation, escrow coordination, dispute resolution, and verification. Payment services are provided exclusively by Payment Partners.
  • You / Your — All users of the Platform, including both Buyers and Sellers.

Platform Role

🔔 Critical Notice: PE2P operates solely as a technology marketplace platform. SOHAG ASHIK GROUP LIMITED is NOT a payment service provider and does NOT hold, process, or control buyer or seller funds at any time. All payment services are provided exclusively by FCA-authorised Payment Partners.

What PE2P Is

SOHAG ASHIK GROUP LIMITED provides technology infrastructure connecting independent buyers and sellers, facilitates transactions through licensed third-party Payment Partners, coordinates escrow-style fund holding through regulated Payment Partner accounts, acts as a dispute resolution intermediary, conducts seller identity verification and listing review, and provides platform rules and enforcement.

What PE2P Is Not

SOHAG ASHIK GROUP LIMITED is explicitly not a buyer or seller of any listed products, a payment institution holding or processing funds directly, a party to any Sale Contract between buyers and sellers, responsible for the quality, safety, legality, or accuracy of any listing, or obliged to pre-screen all users or guarantee every transaction will complete.

All payment services including collection, transfer, and payment of Sale Contract sums are provided by Payment Partners, not PE2P.

User Eligibility

By creating an Account, you represent and warrant that:

  • You are at least 18 years of age with full legal capacity to enter binding contracts
  • Your use of the Platform does not violate applicable laws in your country
  • All registration information you provide is accurate and complete
  • You are not subject to any applicable sanctions or court orders
  • You are not a resident or national of a comprehensively sanctioned country or territory

PE2P reserves the right to request verification documentation at any time and to immediately suspend accounts where eligibility cannot be confirmed. Each person is limited to one Account unless expressly agreed by PE2P.

Account Access & Security

6.1 Registration

To access PE2P Services, you must create an Account through our registration process and log in to your Account to access the Platform.

6.2 EKYC Procedures

PE2P may conduct Electronic Know Your Customer checks at its discretion or as required by AML/CTF laws. Your access is subject to satisfactory completion of EKYC procedures. You agree to cooperate fully, including providing verification documents when requested. If you decline to complete EKYC, PE2P may refund the payment and cancel the relevant transaction.

6.3 Account Security

You are solely responsible for keeping your Account credentials confidential and secure. You must immediately notify PE2P of any unauthorised access at support@pe2p.com. Any instruction received by PE2P from your Account is deemed to have been issued by you, regardless of whether it was issued by an authorised or unauthorised third party.

6.4 Account Monitoring

You must monitor all activities and transactions in your Account and notify PE2P within 30 days of any unusual or unauthorised activity, incomplete or inaccurate data, security breaches, or data received not intended for you.

For Buyers

7.1 Transactions

You may use your Account to transact on the Platform. PE2P may limit transaction amounts or numbers for security reasons and may refuse any transaction that does not satisfy these Terms or may violate applicable law.

7.2 Buyer Responsibilities

You are responsible for all transactions and associated fees, costs, and taxes incurred through your Account. You agree to:

  • Review full listing descriptions before purchasing
  • Process all payments through Payment Partners
  • Confirm receipt of Goods and/or Services within the 48-hour confirmation window
  • Not file chargebacks without first completing the PE2P dispute process

You acknowledge that game developers, social media platforms, and other third parties may modify or restrict purchased items after delivery, and PE2P shall not be liable in such circumstances.

7.3 Payment Flow

  • Funds are transferred to the Seller upon your confirmation of receipt
  • Funds are automatically transferred if you do not confirm receipt or raise a dispute within 48 hours — you are deemed to have received the Goods and/or Services
  • Funds are transferred upon conclusion of any settlement or dispute resolution
  • Funds are disposed of in accordance with any order from a competent court or authority

For Sellers

8.1 Seller Account

By registering as a Seller, you represent and warrant that all information submitted to PE2P is current, complete, and accurate. Providing false or incomplete information may result in Account restriction, suspension, or withholding of payments.

8.2 Payment Services for Sellers

Where PE2P approves your Seller Account, you authorise PE2P to facilitate the opening of a Seller Wallet with our Payment Partners on your behalf to receive transaction payments. By registering, you accept the terms of service of our Payment Partners.

8.3 Seller Obligations

Each Seller warrants and confirms that they:

  • Have all necessary permissions, rights, licences, and approvals to offer the listed Goods and/or Services
  • Will honour and perform all Sale Contracts
  • Will promptly deliver Goods and/or Services within the stated timeframe
  • That all listings accurately describe the products
  • Will not recruit or transact with Buyers outside the Platform
  • Will not simultaneously list the same product on multiple platforms or to multiple buyers
  • That all listing images and screenshots are genuine and accurate

8.4 Seller Performance Standards

Sellers must maintain the minimum performance standards published at PE2P may adjust commission rates, escrow hold periods, and listing privileges based on seller performance tiers.

Payment & Transaction Flow

All payments on PE2P are processed through licensed Payment Partners. By completing a purchase, you agree to the terms of service of the applicable Payment Partner.

Transaction Process:

  • Buyer selects a product and completes checkout
  • Payment is processed by the Payment Partner and credited to the Omnibus Wallet
  • Seller receives notification to deliver Goods and/or Services
  • Seller delivers within their stated delivery timeframe
  • Buyer receives delivery notification and confirms receipt within 48 hours
  • Payment Partner transfers funds to Seller Wallet less PE2P commission

14.2 Automatic Release

If the Buyer does not confirm receipt or raise a dispute within 48 hours of delivery notification, funds are automatically released to the Seller and the Buyer is deemed to have received the Goods and/or Services.

14.3 Payment Methods

Available payment methods are displayed at checkout and include card payments, bank transfers, and cryptocurrency. Accepted methods may change without prior notice.

Escrow & Fund Holding

15.1 Fund Holding Structure

Buyer funds are held by Payment Partners in a regulated Omnibus Wallet in accordance with their obligations under the Financial Services and Markets Act 2000 and applicable FCA rules. SOHAG ASHIK GROUP LIMITED does not hold, control, or access client money directly at any time.

15.2 Release Conditions

Funds are released to Sellers only upon:

  • Buyer confirmation of receipt
  • Automatic release after the 48-hour window without a dispute
  • PE2P dispute resolution in the Seller's favour
  • Order from a competent court or authority

15.3 Insolvency Protection

In the event of SOHAG ASHIK GROUP LIMITED insolvency, held funds remain protected under our Payment Partner's regulatory safeguarding obligations and are not accessible to PE2P's creditors.

Cryptocurrency Payments

PE2P accepts cryptocurrency payments through integrated third-party processors. Users making cryptocurrency payments acknowledge that:

  • Cryptocurrency transactions are irreversible once confirmed on the blockchain
  • Cryptocurrency values are subject to significant market volatility
  • Blockchain network confirmation times vary and are outside PE2P's control
  • Regulatory treatment of cryptocurrencies varies by jurisdiction and users are responsible for compliance
  • PE2P is not responsible for market fluctuations, network fees, or blockchain delays

Refunds & Disputes

17.1 Buyer Refund Eligibility

A Buyer is eligible for a full refund when:

  • The Seller fails to deliver within twice the stated delivery timeframe
  • The delivered product materially differs from the listing description
  • The product is non-functional at delivery and the Seller cannot provide a replacement within 24 hours
  • Fraudulent misrepresentation by the Seller is established through PE2P investigation

17.2 Non-Refundable Circumstances

Refunds will not be issued when:

  • The Buyer confirms receipt and then changes their mind
  • The product was accurately described but the Buyer misunderstood the listing
  • The Buyer fails to secure the product after receipt
  • The product is restricted by the originating platform due to the Buyer's own actions
  • The dispute is raised outside the 48-hour window without reasonable cause

17.3 Dispute Process

  • Buyer must raise a dispute within 48 hours of delivery notification via the order page
  • Both parties submit evidence within 24 hours of dispute opening
  • PE2P dispute team issues a decision within 72 hours of receiving all evidence
  • The decision is binding on both parties and funds remain held throughout

17.4 Appeals

Either party may appeal once within 48 hours by submitting new material evidence not previously available. Senior review decisions are final.

17.5 External Resolution

Nothing in these Terms prevents either party from pursuing claims through the courts of England and Wales or through the Centre for Effective Dispute Resolution at cedr.com.

KYC & AML Compliance

SOHAG ASHIK GROUP LIMITED complies with the UK Money Laundering, Terrorist Financing and Transfer of Funds Regulations 2017 and the Proceeds of Crime Act 2002.

18.1 Verification Requirements

PE2P may require:

  • Government-issued photo identification (passport or driving licence)
  • Proof of address dated within three months
  • Source of funds documentation for high-value transactions
  • Business registration documents for business Seller accounts
  • Additional documentation as required by law or Payment Partner requirements

18.2 PE2P Rights

SOHAG ASHIK GROUP LIMITED reserves the right to:

  • Suspend transactions pending verification
  • Report suspicious activity to the National Crime Agency (NCA)
  • Freeze accounts reasonably suspected of money laundering without prior notice
  • Share user information with regulatory authorities when legally required

Sanctions Compliance

SOHAG ASHIK GROUP LIMITED complies with all UK financial sanctions administered by the Office of Financial Sanctions Implementation (OFSI) and all applicable international sanctions regimes.

PE2P does not provide services to individuals or entities on UK HM Treasury, OFAC, or EU consolidated sanctions lists, or residents of comprehensively sanctioned countries or territories including North Korea, Iran, Syria, and Belarus.

Accounts found in violation will be immediately terminated and relevant authorities notified as required by law.

Verification & Security

PE2P employs a multi-tier seller verification system. Verification tiers and associated privileges are published in the seller dashboard. Higher verification tiers unlock additional listing capabilities and reduced escrow hold periods.

All new listings are subject to review before going live. PE2P may decline, modify, or remove any listing at its discretion, including listings that pass automated screening, if found to violate these Terms or pose unacceptable risk.

Users are responsible for maintaining account credential security. PE2P recommends enabling two-factor authentication. PE2P is not liable for losses arising from unauthorised access where the user has not taken reasonable security precautions.

Platform Use Rules

PE2P grants you a non-exclusive, non-transferable right to access and use the Platform solely for the purposes of this Agreement.

You must not:

  • Copy, distribute, or recreate any part of the Platform
  • Rent, lease, sub-licence, translate, merge, adapt, or modify the Platform
  • Disassemble, decompile, or reverse-engineer any part of the Platform
  • Collect or harvest any data from the Platform
  • Access data or accounts not intended for or authorised by you
  • Transmit malicious code, viruses, or harmful data through the Platform
  • Misuse or hack any aspect of the Platform
  • Send unsolicited advertising or promotional content through the Platform
  • Use the Platform for any unlawful purpose or to act fraudulently
  • Use the Platform in a way that could damage, overburden, or compromise PE2P systems

User-Submitted Information

You must ensure all information provided to PE2P is true, complete, accurate, and current, and that you have all necessary authority to publish it. You must not transmit information that is unlawful, harmful, threatening, defamatory, obscene, or that violates any law or infringes third-party rights.

By submitting information to the Platform, you grant SOHAG ASHIK GROUP LIMITED a royalty-free, non-exclusive, worldwide licence to reproduce, publish, and display such information on or through the Platform. Personal Data is processed in accordance with the Privacy Policy.

Intellectual Property

23.1 Platform IP

All Intellectual Property Rights in the Platform — including all content, design, software, trademarks, and branding — are owned by SOHAG ASHIK GROUP LIMITED and protected under the Copyright, Designs and Patents Act 1988 and applicable international law. Nothing in this Agreement transfers any Intellectual Property Rights to you.

23.2 Third-Party IP

All rights in games, software, and third-party platforms are owned exclusively by their respective developers or publishers. Third-party trademarks and product names referenced on the Platform are the property of their respective owners and may not be copied or used without permission. Reference to any product does not constitute endorsement by PE2P.

23.3 Copyright Claims

Reviews & Ratings

Only Buyers who have completed a verified transaction may leave reviews. Reviews must be based on genuine first-hand experience and must not contain defamatory, discriminatory, or illegal content.

Sellers may not:

  • Offer incentives for positive reviews
  • Threaten buyers for negative reviews
  • Create fake accounts to inflate ratings
  • Engage in coordinated review manipulation

Violations result in immediate account termination.

Fraud Prevention

The following constitute serious violations resulting in immediate termination, potential legal action, and reporting to law enforcement:

  • Creating multiple accounts to circumvent bans or restrictions
  • Manipulating feedback, rating, or review systems
  • Chargeback fraud — filing chargebacks after confirmed receipt
  • Escrow fraud — any attempt to manipulate the escrow system
  • Providing false information during identity verification
  • Money laundering or using the Platform to facilitate financial crime
  • Directing transactions off-platform to circumvent PE2P protections and fees

SOHAG ASHIK GROUP LIMITED cooperates fully with law enforcement and will provide transaction records, account data, and evidence when required by valid legal order. Fraud will be reported to Action Fraud (actionfraud.police.uk) and the National Crime Agency.

Confidentiality

Confidential Information means all information of any kind shared between parties in connection with this Agreement that is confidential by nature, including technical data, business strategies, financial information, user data, and trade secrets.

Confidential Information does not include information:

  • Already in the receiving party's possession free of obligation
  • Independently developed by the receiving party
  • Publicly available through no breach of this Agreement
  • Available from a source not bound by confidentiality

Confidential Information must not be disclosed except where required by law or court order, to advisors with a definite need to know, or with prior written approval of the disclosing party. This clause survives termination of this Agreement.

Prohibited Listings

The following products and services are strictly prohibited on PE2P:

  • Illegal, fraudulent, or stolen goods — including accounts obtained through hacking, phishing, or unauthorised access
  • Adult-oriented, inappropriate, or pornographic content
  • Products infringing copyright, trademark, patent, or any intellectual property rights
  • Counterfeit goods or products misrepresented as genuine
  • Personal data of third parties obtained without valid consent
  • Malware, spyware, ransomware, or any malicious software
  • Weapons, controlled substances, or goods prohibited under UK law
  • Products facilitating fraud, money laundering, harassment, or harm
  • Products subject to active platform bans, court injunctions, or legal orders

PE2P may remove any violating listing at absolute discretion. Breach may be reported to Action Fraud and relevant authorities.

Seller Warranties

By listing on PE2P, each Seller gives the following binding warranties:

  • Full legal right and title to sell the listed product
  • Accurate description with no material omissions
  • Product will function as described at delivery
  • The Seller will honour their stated warranty period in full
  • A working replacement will be provided within 24 hours if the product fails within the warranty period through no fault of the Buyer
  • The product has not been simultaneously listed or transferred elsewhere
  • All images and screenshots are genuine, current, and unedited

Breach of any warranty entitles the Buyer to a full refund and may result in Seller Account suspension or permanent termination.

Buyer Responsibilities

Buyers on PE2P agree to:

  • Review listing descriptions fully before purchase
  • Provide accurate payment and identity information
  • Confirm receipt within the 48-hour window
  • Raise disputes in good faith with genuine evidence
  • Not file chargebacks without first completing the PE2P dispute process
  • Secure purchased products immediately upon receipt including changing credentials where applicable
  • Use purchased products lawfully
  • Not misuse the dispute or refund system to obtain products without payment

Sale Contracts

12.1 Nature of Sale Contracts

All Sale Contracts are strictly between the relevant Seller and Buyer to the full exclusion of SOHAG ASHIK GROUP LIMITED. PE2P makes no representation or warranty regarding any Goods and/or Services and shall not be liable for any losses arising from a Sale Contract. PE2P is a facilitator only and has no control over the quality, safety, legality, or accuracy of any listing.

12.2 Sale Contract Conditions

All prices are exclusive of exchange rate fees and applicable taxes. The Buyer is liable for all applicable taxes. Unless approved by PE2P, all payments are final and all purchases are non-refundable except as expressly provided in these Terms.

12.3 Disputes Between Parties

PE2P encourages direct resolution between parties and will use reasonable commercial efforts to facilitate this. PE2P may, but is not obliged to, intervene in disputes at its sole discretion. The Payment Partner retains funds until a binding resolution is reached. You release SOHAG ASHIK GROUP LIMITED from all claims arising from disputes with other users to the maximum extent permitted by law.

Fees & Commission

13.1 Seller Commission

A commission is deducted from each completed transaction at the rate published at , displayed to Sellers during listing creation and at point of sale.

13.2 Buyer Fees

PE2P does not currently charge Buyers additional platform fees beyond the listed purchase price. Applicable payment processing fees imposed by Payment Partners are disclosed at checkout.

13.3 Dispute Fees

The first dispute per calendar month is processed at no charge. Repeated frivolous disputes may incur an administrative fee as published at pe2p.com/fees.

13.4 Fee Changes

All fees are inclusive of applicable VAT. Fee schedule changes are communicated with 30 days' written notice. Current fees are always published at pe2p.com/fees.

13.5 Set Off

You shall not set off any payment due to SOHAG ASHIK GROUP LIMITED against any claim or payment due to you. PE2P may set off or recoup against amounts payable to you all present and future indebtedness arising from your use of the Platform.

Data Protection & UK GDPR

SOHAG ASHIK GROUP LIMITED processes personal data as a Data Controller in accordance with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018. Our ICO Registration Number is published in our Privacy Policy at pe2p.com/privacy-policy.

We process personal data on the basis of contract performance, legal obligation, legitimate interests (fraud prevention and security), and consent for marketing.

Under UK GDPR you have the right to:

  • Access your personal data
  • Correct inaccurate data
  • Request erasure of your data
  • Restrict or object to processing
  • Data portability

To exercise these rights, contact legal@pe2p.com. You may also lodge a complaint with the Information Commissioner's Office at ico.org.uk.

Consumer Cancellation Rights

For UK and EU consumers, you ordinarily have a 14-day right to cancel under the Consumer Contracts Regulations 2013. However, this right is waived for digital content once delivery has commenced, provided you have given express prior consent before purchase confirmation.

Nothing in these Terms affects your statutory rights under the Consumer Rights Act 2015, including your right to products that are of satisfactory quality, fit for purpose, and as described.

Platform Communications

By registering, you consent to receive transactional communications including order confirmations, delivery notifications, dispute updates, and security alerts. These are necessary for platform operation and cannot be opted out of while your Account is active.

Marketing communications require separate consent, which may be withdrawn at any time via account settings or by contacting legal@pe2p.com. PE2P will never sell your contact information to third parties.

Material changes to these Terms will be communicated by email and in-platform notification at least 14 days before taking effect.

AI & Automated Responses

PE2P may use AI-powered tools for customer support, translation, and automated responses. AI-generated responses are provided for informational purposes only and may contain inaccuracies or omissions. They should not be considered professional advice or relied upon as the sole basis for decision-making. You are encouraged to verify information independently before taking action.

SOHAG ASHIK GROUP LIMITED disclaims all liability arising from reliance on AI-generated responses.

Force Majeure

SOHAG ASHIK GROUP LIMITED shall not be liable for any failure or delay caused by circumstances beyond our reasonable control, including:

  • Cyberattacks or DDoS events
  • Payment processor outages
  • Natural disasters
  • Government actions or regulatory decisions
  • Internet infrastructure failures
  • Pandemic or public health emergency
  • War, civil unrest, terrorism, or acts of God

Protection of Minors

PE2P is strictly an adult platform. No person under the age of 18 may register or use the Platform under any circumstances.

Any account found to be operated by a minor will be immediately terminated, all pending transactions cancelled with full refund to the Buyer, and the matter reported to appropriate authorities where required by law. Adults who knowingly facilitate minors in using the Platform accept full personal liability for all resulting transactions, losses, and legal consequences.

Disclaimer

PE2P warrants that PE2P Services will be provided with reasonable care and skill. However, information on the Platform may be furnished by third parties and PE2P does not warrant its accuracy. The Platform is provided on an "as is" and "as available" basis. PE2P does not warrant uninterrupted or error-free operation.

There are risks associated with purchasing digital goods including risk of counterfeit or non-transferable items — Buyers are advised to conduct sufficient research prior to any purchase.

Limitation of Liability

34.1 Non-Excludable Liability

Nothing in these Terms excludes SOHAG ASHIK GROUP LIMITED's liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded under applicable UK law.

34.2 Cap on Liability

Subject to clause 34.1, SOHAG ASHIK GROUP LIMITED's total aggregate liability for all claims arising from use of the Platform shall not exceed the greater of: (a) the total value of the specific transaction giving rise to the claim, or (b) one hundred pounds sterling (£100).

34.3 Excluded Losses

PE2P is not liable for:

  • Indirect, consequential, punitive, or incidental losses
  • Loss of profit or revenue
  • Actions of third-party Sellers or Buyers
  • Account bans or restrictions imposed by Facebook, Meta, Google, Amazon, Steam, TikTok, or any third-party platform on purchased products
  • Losses from cryptocurrency market volatility or blockchain failures
  • Force majeure events

Indemnification

You agree to defend, indemnify, and hold harmless SOHAG ASHIK GROUP LIMITED, its directors, officers, employees, and agents from and against all costs, losses, damages, claims, fines, penalties, and legal fees arising from:

  • Your use of the Platform in violation of these Terms
  • Content you submit or list on the Platform
  • Transactions you engage in as Buyer or Seller
  • Your violation of any applicable law or third-party rights
  • Fraudulent, misleading, or illegal conduct on your part

Account Termination

36.1 Termination by PE2P

SOHAG ASHIK GROUP LIMITED may immediately suspend or terminate Accounts for policy violations, fraud, chargebacks exceeding thresholds, sanctions violations, AML concerns, law enforcement requests, security threats, or failure to complete required verification. No notice is required where termination is necessitated by fraud, criminal activity, legal order, or immediate security threat.

36.2 Termination by User

Users may close their account by contacting legal@pe2p.com. Closure does not affect pending transactions, disputes, or completed transaction records retained in accordance with our Data Retention Policy.

36.3 Effect of Termination

Upon termination: all rights under this Agreement cease, Seller balances are remitted subject to verification and hold periods, all PE2P Confidential Information in your possession must be destroyed, and all accrued obligations survive termination.

Platform Availability

SOHAG ASHIK GROUP LIMITED does not guarantee continuous, uninterrupted, or error-free operation. We will use commercially reasonable efforts to maintain availability and notify users of planned maintenance. PE2P shall not be liable for unavailability due to maintenance, updates, or circumstances beyond our control.

Third-Party Services

PE2P integrates third-party services including payment processors, identity verification providers, analytics, cloud infrastructure, and security services. SOHAG ASHIK GROUP LIMITED is not responsible for failures, errors, or data processing by third-party providers beyond what is covered by applicable Data Processing Agreements.

The Platform may contain links to third-party websites. PE2P has no control over and assumes no responsibility for the content of such sites. Your use of third-party sites is entirely at your own risk.

Governing Law

These Terms and any disputes or claims arising from them are governed by the laws of England and Wales. Both parties irrevocably submit to the exclusive jurisdiction of the courts of England and Wales.

For EU consumers, nothing in these Terms affects your rights under mandatory applicable consumer protection legislation in your country of residence.

Changes to Terms

SOHAG ASHIK GROUP LIMITED may update these Terms at any time. For material changes, at least 14 days' notice will be provided by email and in-platform notification before changes take effect. For minor corrections, no advance notice is required.

Your continued use of the Platform after the effective date constitutes acceptance of updated Terms. If you do not agree, you must stop using the Platform. Previous versions are archived and available on request at legal@pe2p.com.

Assignment

You may not transfer any rights or obligations under this Agreement without PE2P's prior written consent. SOHAG ASHIK GROUP LIMITED may transfer or assign rights and obligations to affiliates or successors without your consent.

No Partnership or Agency

Nothing in this Agreement creates a joint venture, partnership, employment relationship, or agency between any parties. Sellers are independent contractors and not employees or agents of SOHAG ASHIK GROUP LIMITED.

No Third-Party Rights

The Contracts (Rights of Third Parties) Act 1999 does not apply to this Agreement. No third party has any right to enforce any term of this Agreement.

No Waiver

No failure or delay by SOHAG ASHIK GROUP LIMITED in exercising any right or remedy constitutes a waiver. A waiver of any breach does not constitute a waiver of any subsequent breach.

Entire Agreement

These Terms, together with the Privacy Policy, Cookie Policy, Refund and Dispute Policy, Seller Agreement, and all referenced policies, constitute the entire agreement between SOHAG ASHIK GROUP LIMITED and the user with respect to the Platform.

Translation

In the event of any conflict between the English version and any translated version of these Terms, the English version shall prevail for all legal purposes.

Survival

The following clauses survive termination:

  • Confidentiality
  • Data Protection
  • Intellectual Property
  • Limitation of Liability
  • Indemnification
  • Governing Law
  • No Waiver
  • All provisions intended by their nature to survive termination

PE2P may give notice by platform notification, email to your registered address, or any other lawful means.

Notices to PE2P

Notices to SOHAG ASHIK GROUP LIMITED must be sent to legal@pe2p.com or by registered post to the address below. Email notice shall not be valid for legal claims, demands, suits, or proceedings.
